Welcome to MerchBox (“we,” “our,” or “us”). By accessing or using our website, services, or placing an order through any MerchBox storefront, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use our services.
 

1. About MerchBox

MerchBox is a B2B merchandise platform that provides custom-branded online storefronts for businesses, organizations, and creators. Each storefront displays pre-approved merchandise with the client’s branding and enables direct ordering through third-party print-on-demand fulfillment partners.

MerchBox acts as a platform and facilitator, not the manufacturer of products.

2. Eligibility & Use

​

You confirm that:

​

  • You are authorized to represent the business or organization using MerchBox

  • You have the legal right to upload and use all branding, logos, and content provided

  • You will use the platform only for lawful business purposes

 

We reserve the right to refuse service or suspend access at our discretion.

​

3. Client Storefronts (Public & Private)

​

  • Clients may request storefronts to be public or private

  • Private stores are accessible only via a shared link

  • MerchBox is not responsible for unauthorized access caused by link sharing

 

Once approved, storefront branding and products are considered final unless otherwise agreed in writing.

4. Orders & Fulfillment

​

  • All products are fulfilled by third-party print-on-demand partners

  • Production, shipping timelines, and delivery estimates are set by fulfillment partners

  • MerchBox does not control or guarantee manufacturing or shipping times

 

Order confirmations do not guarantee delivery dates.

5. Pricing & Payments

​

  • Prices shown include product cost, branding, and MerchBox service fees

  • Taxes and shipping costs are calculated at checkout

  • All payments must be completed before orders are processed

 

MerchBox reserves the right to update pricing at any time without prior notice. Claims must be submitted within 7 days of delivery, with clear photo evidence.

7. Intellectual Property & Branding

​

  • Clients retain ownership of their logos and brand assets

  • By uploading content, you grant MerchBox a limited license to use it solely for:

    • Storefront display

    • Product mockups

    • Order fulfillment

 

MerchBox retains ownership of:

​

  • Website design

  • Platform structure

  • Storefront templates

  • Marketing content

 

No content may be copied or reused without written permission.

8. Content Approval & Accuracy

 

Clients are responsible for:

​

  • Reviewing mockups before approval

  • Ensuring spelling, colors, placement, and branding accuracy

 

Once approved, MerchBox is not liable for errors missed during review.

 

9. Feedback & Testimonials

 

By submitting feedback, reviews, or testimonials, you grant MerchBox permission to:

​

  • Display them on our website

  • Use them for marketing and promotional purposes
    (Unless you explicitly request otherwise in writing.)

​

10. Platform Availability

 

We strive to keep MerchBox accessible at all times, but we do not guarantee uninterrupted service. Maintenance, updates, or third-party issues may result in temporary downtime.

 

11. Limitation of Liability

 

To the fullest extent permitted by law:

  • MerchBox is not liable for indirect, incidental, or consequential damages

  • Our liability is limited to the amount paid for the affected order

 

We are not responsible for delays, losses, or errors caused by fulfillment partners or shipping carriers.

12. Indemnification

 

You agree to indemnify and hold MerchBox harmless from any claims, losses, or damages arising from:

​

  • Unauthorized use of branding

  • Intellectual property disputes

  • Misuse of the platform

 

13. Termination

 

We may suspend or terminate access if:

​

  • These Terms are violated

  • Fraudulent or abusive activity is detected

  • Brand content is unlawful or inappropriate

 

Termination does not affect completed or in-progress orders.​

​

14. Changes to These Terms

 

We may update these Terms at any time. Continued use of MerchBox after changes constitutes acceptance of the revised Terms.
